The Crypto Funds Attorney will provide legal guidance across onshore and offshore fund structures, ensuring adherence to SEC regulations and other applicable laws. You will play a key role in structuring venture capital and crypto-focused investment funds, supporting token sale offerings, and advising leadership on regulatory strategy. Lead legal aspects of fund formation, including drafting and negotiating limited partnership agreements, private placement memorandums, and subscription documents.. . Provide comprehensive product lifecycle counseling for a variety of platform products in the crypto space.. . Advise on regulatory compliance under SEC Regulation D (onshore) and Regulation S (offshore), ensuring adherence to applicable laws.. . Monitor and interpret emerging crypto-related regulations, including legislative initiatives such as the proposed Clarity Act.. . Offer strategic counsel to leadership and investment teams on fund structuring, compliance, and transaction strategy.. . Navigate cross-jurisdictional regulatory requirements, coordinating with international legal frameworks.. .
