The Company Secretary will ensure that Marcura group entities adhere to applicable corporate governance standards, regulatory compliance and ongoing statutory obligations. The Company Secretary will support the Group General Counsel in enabling strategic decision-making, managing board and other entity administration and maintaining transparent and compliant operations across the Marcura group. . . Maintain statutory registers. Ensure timely and accurate filing of various documents including annual returns, shareholder resolutions and changes to directors/officers or corporate structure with relevant bodies in all operating jurisdictions.. . Oversee and manage Marcura legal entities to ensure that all legal, regulatory and corporate governance requirements are fulfilled in the jurisdictions in which Marcura operates.. . With the support of the Group General Counsel and external advisors, monitor evolving legal and regulatory changes (e.g., ESG, AML, data privacy) and assess governance implications.. . Maintain a centralised corporate records management system across all group entities.. . Coordinate incorporation, restructuring (for simplification), liquidation and inter-company transactions in consultation with legal, finance, compliance and tax teams. Communicate effectively with other stakeholders and advisors where required.. . Liaise with external company secretarial service providers, registered agents and regulators across jurisdictions (e.g. UAE, Portugal, Singapore, India, Phillipines etc).. . Support enterprise risk management initiatives by ensuring governance controls are embedded and monitored. . . Provide governance input for legal and compliance audits, due diligence exercises and M&A activity. . . Act as the key contact for corporate regulators and other external stakeholders on governance and compliance matters.. .
