Funding is primarily via philanthropic donations from European and US endowments and families, with a small but growing percentage from consulting and financial institutions. . Role overview. The Board is the governance body for Tracker Group, serving as stewards of the organisation’s resources and is ultimately responsible for our strategy, operations, adherence to legal and regulatory responsibilities and financial management.. The Board Chair is responsible for working closely with the Chief Executive Officer (CEO) to provide governance, leadership and direction in line with the Group’s mission, strategy and objectives. . The Chair leads the Board of Non-Executive Directors and works closely with the Chief Executive Officer and Senior Management Team to achieve its goals. The Chair is responsible for key areas, including: . . Ensuring that the Board operates effectively by focusing on high-level priorities, setting the strategic direction and objectives and the review of progress toward them, that are supportive of Tracker Group’s mission and values.. . To provide the Board, the Board Committees and individual directors with leadership to assist them to carry out their duties and responsibilities effectively and efficiently, and independently from the secretariat;. . Maintaining high standards of governance and risk management by fostering responsible decision-making by the Board, the Board committees and individual directors. . Ensuring that the Board is diverse and ensure full utilisation of directors’ skills and experience to deliver Tracker Group’s aims. . Ensuring that the Board and organisation is accountable and transparent in its activities. . Maintaining compliance with relevant company legislation. . Oversight of any sub-committees including Audit and Risk, Remuneration, DEI and Nominations.. . Ensure that Board Members are high performing and effective with responsibility for the regular review of individual and Board performance. . Appointment and line management of the Chief Executive Officer, working in partnership with them to achieve the organisational aims and objectives. . To provide support and guidance on operations where possible. . Finance. . Ensuring, with the support of the Audit and Risk Committee Chair, sound and prudent financial oversight including the review and approval of the annual budget. . To provide oversight and guidance to ensure high standards of financial management. . Advocacy and Fundraising . . Using personal and professional networks to support the CEO, SMT and Fundraising . . team with access to potential donors and supporters.. . Lead Board Meetings. Lead on all aspects of meeting management including encouraging discussion at meetings, summarising key points and ensuring decisions are made and implemented (with administrative support from the organisation).. Person Specification. . Demonstrate commitment to Tracker Group’s mission and values, be able to articulate and act on them to drive systemic change and investor action. . Share the energy and drive of the organisation and be committed to their role as Chair. . Proven track record of being a strategic, dynamic and innovative thinker; driving policy, social or environmental changes . . Not for profit experience either through an executive or previous Trustee/Director role, especially experience in governance reform. . Knowledge of fundraising in the context of trusts and foundations . . Pragmatic and solution orientated. . Be able to gain respect and support from our key stakeholders. . Experience of building relationships with senior stakeholders. . Understanding of the legal duties, responsibilities and liabilities of directorship. . Good communication and leadership skills. .
